Welcome to Pizza Depot! These Terms and Conditions govern your use of the Pizza Depot website, mobile application, and services (collectively referred to as the "Services"). By accessing or using our Services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our Services.

Please read these Terms and Conditions carefully before using our Services. By accessing or using the Services, you agree to be bound by these Terms and Conditions and our Privacy Policy, incorporated herein by reference.

1. Use of Our Services

1.1 Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you may only use our Services with the involvement and consent of a parent or guardian. By using our Services, you represent and warrant that you meet all eligibility requirements.

  • Create multiple accounts for deceptive or fraudulent purposes
  • Submit false or misleading information
  • Transmit any malicious code, viruses, or harmful materials

2. Ordering and Delivery

2.1 Placing Orders

When you place an order through our Services, you agree to:

  • Provide accurate and complete information for order processing and delivery
  • Pay the full amount specified for your order, including applicable taxes, delivery fees, and gratuities
  • Comply with any minimum order requirements that may apply

We reserve the right to refuse or cancel any order for any reason, including errors in product or pricing information, suspected fraudulent activity, or availability issues. If we cancel an order and you have already been charged, we will issue a refund.

2.2 Pricing and Payment

All prices displayed on our Services are in Canadian dollars (CAD) and do not include applicable taxes, which will be added at checkout. Prices for products and delivery fees are subject to change without notice.

By providing a payment method, you represent that you are authorized to use the payment method and that the payment information you provide is accurate and complete. You authorize us to charge your payment method for all orders placed through your account.

2.3 Delivery

Delivery is subject to:

  • Your address being within our delivery area
  • Weather conditions and other factors that may affect safe delivery
  • Minimum order requirements that may apply to delivery orders
  • Delivery fees that vary based on location, distance, and order value

Delivery times are estimates only and are not guaranteed. Factors such as traffic, weather, and order volume may affect actual delivery times.

2.4 Order Cancellations

Once your order has been confirmed, cancellation may not be possible or may be subject to our Refund Policy. If you need to cancel an order, please contact the restaurant location where you placed your order as soon as possible.

3. Intellectual Property Rights

3.1 Our Intellectual Property

The content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Pizza Depot, its licensors, or other content providers and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for personal, non-commercial purposes. This license does not include:

  • Modifying or copying our materials
  • Using the materials for any commercial purpose or public display
  • Attempting to decompile or reverse engineer any software contained on our Services
  • Removing any copyright or other proprietary notations from the materials
  • Transferring the materials to another person or "mirroring" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Pizza Depot at any time.

3.3 Trademarks

The Pizza Depot name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pizza Depot or its affiliates or licensors. You may not use these marks without our prior written permission.

3.4 User Content

By submitting any content to our Services (such as reviews, comments, or feedback), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

You represent and warrant that you own or control all rights to the content you submit and that your content does not violate these Terms and Conditions or any third-party rights.

4. Limitation of Liability

4.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZA DEPOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

4.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZA DEPOT, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 CAD OR THE AMOUNT YOU HAVE PAID TO PIZZA DEPOT IN THE LAST 12 MONTHS.

4.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

5. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Depot, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms and Conditions
  • Your use of the Services
  • Your violation of any rights of another person or entity
  • Your breach of any representations or warranties made by you under these Terms and Conditions

6. User Conduct on the Site

When using our website, mobile app, or other digital services, you agree to conduct yourself in a respectful and lawful manner. The following behaviors are prohibited:

6.1 Content Restrictions

You may not post, upload, or transmit any content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another person's privacy
  • Contains hate speech, discriminatory language, or promotes violence against any person or group
  • Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights
  • Contains software viruses or any other computer code designed to disrupt, damage, or limit the functioning of any computer software or hardware
  • Impersonates any person or entity, or falsely states or misrepresents your affiliation with a person or entity
  • Contains unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation

6.2 Reviews and Feedback

When leaving reviews or providing feedback about our services:

  • Provide honest, accurate, and fair assessments based on your actual experience
  • Do not include personally identifiable information about our employees or other customers
  • Do not post fake reviews or attempt to manipulate our rating system

We reserve the right to remove any content that violates these guidelines or that we determine, in our sole discretion, is harmful to our services or to other users.

7. Disputes and Governing Law

7.1 Governing Law

These Terms and Conditions and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

7.2 Dispute Resolution

Any dispute arising from or relating to these Terms and Conditions or your use of the Services shall first be resolved through good-faith negotiations. If such negotiations fail, any legal action or proceeding arising out of or related to these Terms and Conditions shall be brought exclusively in the courts of the Province of Ontario, and you consent to the personal jurisdiction of such courts.

7.3 Limitation Period

Any cause of action or claim you may have arising out of or relating to these Terms and Conditions or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

8. Changes to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the Services.

Your continued use of the Services after any changes to the Terms and Conditions constitutes your acceptance of the revised terms. If you do not agree to the new terms, you must stop using the Services.

We encourage you to review the Terms and Conditions periodically to stay informed about our legal requirements and operating practices.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms and Conditions.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. General Provisions

10.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or additional terms and conditions or policies published by Pizza Depot on the Services, constitute the entire agreement between you and Pizza Depot concerning the Services.

10.2 Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or a waiver of any other term, and any failure by Pizza Depot to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

10.3 Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of the Terms and Conditions will continue in full force and effect.

10.4 Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without Pizza Depot's prior written consent. Any attempt to assign or transfer these Terms and Conditions without such consent will be null and void. Pizza Depot may assign or transfer these Terms and Conditions, at its sole discretion, without restriction.
